Line of Service Overview 

Our Deals practice helps organizations navigate complex transactions, from mergers and acquisitions to restructuring and strategic investments. We deliver insights and solutions that enable clients to create, protect, and realize value throughout the deal lifecycle. 

Within Deals, technology is increasingly central to value creation, risk management, integration, carve-out execution and transformation. Our Technology in Deals capability helps investors and corporates assess technology risks and opportunities, develop technology value creation plans, and execute complex technology-enabled transaction programs. 

Business Unit Overview 

Delivering Deal Value focuses on helping investors and corporates unlock value through post-merger integration, carve-outs, operational transformation and technology-enabled value creation. We work with private equity firms, banks, government entities and major corporations to deliver sustained outcomes across sectors, with a strong emphasis on Financial Services, including banking, digital banking, payments and fintech. 

Our work spans the full deal lifecycle, including technology due diligence, IT and digital operating model assessment, technology integration and separation planning, synergy identification, TSA design and exit planning, enterprise applications, infrastructure, data, cybersecurity, cloud, and technology transformation. 

How You’ll Contribute 

As a Senior Manager in the DDV team with a focus on Technology in Deals, you’ll work as part of a team of problem solvers, helping to solve complex business and technology issues from strategy through execution. Responsibilities include but are not limited to: 

Leading large-scale technology integrations, separations and carve-outs, ensuring smooth transitions, business continuity and synergy capture 

Supporting technology due diligence engagements, including assessment of IT strategy, architecture, applications, infrastructure, data, cybersecurity, digital capabilities, technology cost base and scalability 

Developing technology integration and separation strategies, including Day 1 readiness, Day 100 plans, target-state technology architecture, operating model design and TSA exit roadmaps 

Identifying and quantifying technology-related value creation opportunities, including cost synergies, platform rationalization, application consolidation, cloud optimization, automation and digital transformation 

Driving value creation and transformation programs across diverse sectors, with a particular focus on technology-enabled business models and Financial Services platforms 

Acting as a trusted advisor to senior client stakeholders, including C-suite, CIOs, CTOs, COOs, transformation leaders and transaction teams 

Overseeing multiple complex engagements, managing timelines, budgets, risks, dependencies and senior stakeholder expectations 

Designing and implementing operational and technology readiness plans for clients, including government entities, financial institutions and private equity portfolio companies 

Collaborating with cross-functional teams across Deals, Technology Consulting, Cybersecurity, Data & Analytics, Strategy&, Tax and the wider PwC network 

Contributing to proposals, business development initiatives and go-to-market strategies for Technology in Deals propositions and applying digital tools, analytics and AI-enabled methods to enhance deal insights, execution quality and delivery efficiency 

 

What You’ll Bring 

8-10 years of experience in consulting, professional services, corporate development, transaction advisory or technology transformation, with exposure to deals, M&A, integrations, carve-outs or technology-focused transaction work 

Proven track record delivering technology-related transaction services, such as technology due diligence, IT integration, IT separation, carve-out planning, TSA design, Day 1 readiness, synergy programs or technology value creation 

Strong understanding of how technology enables and impacts deal value, including technology cost base, architecture, scalability, operational resilience, technical debt, cybersecurity, data, cloud and digital platforms 

Strong understanding of commercial and operational levers, including P&L, balance sheet, working capital, cost optimization, synergy capture and value creation 

Experience in Financial Services, banking, digital banking, payments, fintech or other technology-intensive sectors would be highly valued 

Experience delivering transaction-related services such as technology transformation, post-merger integration, carve-out execution and synergy programs 

Proficiency in consulting tools, including PowerPoint and Excel, with the ability to produce clear, executive-level outputs 

Excellent interpersonal and communication skills, with the ability to manage senior clients, technology stakeholders and cross-functional teams effectively 

Ability to manage projects end-to-end, balancing multiple priorities under tight deadlines in high-pressure transaction environments 

Relevant technology, project management or architecture certifications would be an advantage, such as PMP, PRINCE2, TOGAF, ITIL, cloud certifications or cybersecurity qualifications
